Who is “R Way?”

So Harris McDowell has this mysterious contributor called income from “R WAY.”

These are search results for that name at the DE Corporations site.

4208421 R-WAY II, LLC
3338912 RWAY INC.

One of them points to Walter Wilson of Rehoboth Beach Delaware. The Other to “Harvard Business Services” of Lewes Delaware. They maybe one in the same given that fact that one is listed as “R WAY II.”

Anyway, Harvard is one of those “Incorporate in Delaware!” operations and (get this) when you google “Walter Wilson & Delaware” you get to this court filing.

That’s kind of a strange coincidence I’d say. Eog stands for Enron Oil and Gas which is still a going concern.

    Jason, not a contributor. R-Way, Inc doesn’t show up on his Dept. of Elections filing. It shows up on his Public Integrity Commission report that all legislators are required to file. It lists where they get their income and who they owe money. He lists R-WAY, INC. and says he is the President. Just to clarify.

    Harvard Business Systems is an incorporator and when corporations file, they must have an in-state agent filed for the company. That is what incoporators do. They file the paperwork and act as the resident agent.

    I imagine that is a corporation he filed which pays him income from whatever source.

    Many people in Delaware have incorporators. I just used one in December for the taxpayer coalition. Having a registered agent means that you have someone to make sure you don’t forget to file the correct paperwork, franchise taxes, etc. So you can go about making widgets instead of worrying about the corporate code.

    A company like Harvard Business Services, that’s all they do, so they’re good at it.

    I absolutely hate it when I have to agree with Republicans, but Jason, people use incorporators and lawyers all the time to file the necessary legal paperwork to form LLCs and LPs and Corporations. Indeed, the law requires that each corporation incorporated in Delaware keep a registered agent in Delaware for service of process purposes, i.e. so that there is someone in Delaware that receives legal papers, tax forms, and who can be served with a summons or a lawsuit.

    Back when I worked in Delaware as an attorney, I and my firm served as a registered agent for corporations we incorporated.

    You ask why would he go through an incorporator?

    Why wouldn’t he? If you had a complicated tax return, would you not hire an accountant. If you wanted to draft a complicated will, you hire an estate attorney.

    It couldn’t be easier to incorporate in Delaware. A 4th grader could do it. Hell…Hube could do it.

    Also – what Rebecca said. What is this front company ? What product or service do they provide and to whom?

    Oh sure, it is fishy. All I am saying is what is not fishy is the use of an incorporator.
